Please read these Terms of Service carefully before engaging SBP Accounting for professional services. By using our website or engaging our services, you agree to be bound by these terms. If you do not agree, please do not use our website or engage our services.
Engagement & Services
These Terms of Service govern your use of the SBP Accounting website and the professional services provided by SBP Accounting (operating as Sekhon Bajwa Panesar, a team of Chartered Professional Accountants).
A formal engagement begins when both parties have agreed to a scope of work and signed an engagement letter. These Terms apply in conjunction with any engagement letter or service agreement.
Our services include but are not limited to bookkeeping, payroll processing, tax preparation (T1 and T2), GST/HST filings, financial reporting, and advisory services for Canadian businesses and individuals.
Client Responsibilities
You agree to provide accurate, complete, and timely financial information necessary for us to perform our services. We rely on the information you provide; we are not responsible for errors or omissions resulting from incomplete or inaccurate information supplied by you.
You are responsible for maintaining your own copies of all source documents (receipts, invoices, bank statements) as required by the Canada Revenue Agency.
You agree to review and approve any filings, reports, or documents before submission to the CRA or other authorities. Your approval constitutes confirmation that the information is accurate to the best of your knowledge.
You are responsible for ensuring timely payment of all taxes and remittances due, including any interest or penalties arising from late payment, unless such delay is directly caused by our failure to meet agreed deadlines.
Fees & Payment
Fees are as agreed in your engagement letter or service plan. Monthly subscription fees are due on the first of each month and are billed in advance.
Add-on services (such as tax filings) are billed upon completion and are payable within 14 days of invoice.
We reserve the right to suspend services if an account becomes more than 30 days past due. Suspended services will resume upon payment in full.
Prices are in Canadian dollars (CAD) and exclude applicable taxes (GST/HST), which will be added to invoices as required.
Confidentiality
We treat all client financial information as strictly confidential. Our team members are bound by professional obligations under the CPA Code of Professional Conduct.
We will not disclose your information to any third party except as required to deliver our services, as required by law, or as authorized by you in writing.
This confidentiality obligation survives the termination of our engagement.
Limitations of Liability
Our liability to you for any claim arising from our services is limited to the fees paid to us in the three (3) months preceding the event giving rise to the claim.
We are not liable for any indirect, incidental, special, or consequential damages, including lost profits or business interruption, even if we have been advised of the possibility of such damages.
We are not responsible for CRA audit adjustments, interest, or penalties except where directly caused by our professional negligence.
Nothing in these Terms limits liability that cannot be excluded under applicable Canadian law.
Intellectual Property
All methodologies, templates, workflows, and software tools developed by SBP Accounting remain our intellectual property.
Financial statements, reports, and filings we prepare on your behalf using your data are your property upon full payment of all outstanding fees.
Termination
Either party may terminate the engagement with 30 days written notice. We reserve the right to terminate immediately in cases of non-payment, provision of fraudulent information, or breach of these Terms.
Upon termination, all outstanding fees become immediately due. We will return or transfer your records within a reasonable time following receipt of final payment.
Governing Law
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.
Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Alberta.
Changes to These Terms
We may update these Terms from time to time. Continued use of our services after notice of changes constitutes acceptance. For existing engagements, material changes will be communicated in writing.
